Pixel Narratives - Terms of Service

1. Agreement Overview

These "Terms of Service" constitute a legally binding agreement between "Pixel Narratives" (a Sri Lankan proprietorship firm) and the "Customer." By using our services, you agree to be bound by these terms. If you do not agree to these terms, you must immediately discontinue use of our services. The relationship between Pixel Narratives and the Customer shall cease upon termination, except for any ongoing payment obligations.

3. Cancellation and Renewal Policy

Customers must cancel service at least seven days before the renewal date to avoid charges. Failure to do so results in non-refundable charges due to resource allocation.

4. Automatic Acceptance of Work

Work is automatically accepted 72 hours after delivery unless the Customer provides specific feedback or revision requests within that timeframe. This policy aims to facilitate prompt editing of the next video.

5. Pricing Plans and Refund Policy

Customers can cancel subscriptions anytime. No refunds are offered if a Video Editor is assigned. Service continues until the end of the current billing cycle, with no partial month refunds. Cancellation takes effect in the next billing cycle.

6. Intellectual Property Rights

Pixel Narratives retains ownership of all content related to its services (software, designs, trademarks, logos, audio, video, text). However, specific works created for a Customer (e.g., custom videos) become the Customer's property upon full payment for the respective billing cycle, protected by copyright.

7. Ownership of Materials

Pixel Narratives retains ownership of proprietary materials and general content used in creation. The Customer obtains full ownership of the final, delivered project work upon full payment, including all design and source files created specifically for the project.

8. Fonts

If a project uses fonts not owned by Pixel Narratives requiring a commercial license, Pixel Narratives will inform the Customer, who is responsible for purchasing the licenses and any consequences of failure to do so.

9. Customer Representation

By using services, the Customer warrants they have legal capacity, are not a minor, will not access services through automated means, and will not use services for illegal/unauthorized purposes or in violation of law.

10. Prohibited Activities

Customers are prohibited from reselling, redistributing, or exploiting services/content for unauthorized commercial purposes, infringing intellectual property rights, or engaging in illegal/fraudulent/harmful activities.

11. Feedback

Questions, comments, suggestions, or feedback should be communicated via designated platforms like Notion. Pixel Narratives retains ownership of all feedback and is not obligated to keep it confidential.

12. Oversight

Pixel Narratives reserves the right to monitor services for violations, take legal action, and restrict/deny access or disable customer use without notice or liability.

13. Returns and Refunds

All payments are non-refundable. Subscriptions can be canceled anytime, but no refunds are offered. Services continue until the end of the current billing cycle after a cancellation request.

14. Modifications to Terms of Service

Pixel Narratives reserves the right to change, alter, modify, or remove any content or discontinue all or part of the services at its sole discretion, without notice or liability.

15. Interruptions

Service interruptions may occur due to factors beyond control (technical difficulties, team unavailability). Pixel Narratives is not liable for loss, damage, or inconvenience from interruptions but is committed to minimizing them and notifying customers of significant interruptions.

16. Governing Law

The Terms of Service are governed by and construed in accordance with the laws of Sri Lanka.

17. Limitations of Liability and Indemnification

Pixel Narratives, its directors, employees, and agents are not liable for direct, indirect, consequential, incidental, special, or punitive damages. The Customer agrees to indemnify and hold harmless Pixel Narratives from any loss, damage, liability, claim, or demand due to their use of the Services.

18. Customer Data

The Customer is responsible for providing necessary data. While Pixel Narratives safeguards data, it is not liable for loss, corruption, or compromise. Customers are advised to maintain backups.

19. Electronic Delivery of Materials

The Customer consents to receive electronic communications, agreeing that electronic agreements, notices, disclosures, and communications satisfy legal requirements for written communication.

20. Showcasing Work

Pixel Narratives reserves the right to showcase work on digital channels unless a Non-Disclosure Agreement (NDA) is in place to protect sensitive information.

21. Termination

Terms remain in effect until terminated by Customer or Pixel Narratives. Customers can terminate per the cancellation policy. Pixel Narratives can terminate with reasonable notice, or immediately in case of breach. Upon termination, all rights and obligations cease, except for surviving provisions like payment obligations and ownership of materials.
